- Establish one central contact person for project communications and decisions.
- Comprehensive business or organization analysis of web site goals.
- Determine content of web site.

- Analysis of technical integration with client’s systems.
- Collection site content; text, images, pages / sections, site keywords: delivered to World Contact.
- Assessment of site’s “marketability”, and visitor’s call to action.
- Professional graphic design layout created to work with existing marketing materials.
- Organize content, develop clear site wide navigation.
- Present web site design draft to client. Approve and / or refine design.
- Create and apply a site wide HTML Dreamweaver® template.
- Create and apply a custom HTML cascading style sheet (CSS).
- Site REVIEW, refinement. Final graphic design APPROVAL. All copy must be received, balance due.
- Compile and embed custom meta-tag codes and search engine keywords into all pages.
- Apply SEO (Search Engine Optimization) techniques to site. Spawn all site pages (copy & images).
- Upload final web site to host server, site GO LIVE. Total balance must be received.
- Client may receive basic instruction on site maintenance and updates.
- Client may retain all final graphic design and work-up files (uploaded with site).
- Typical total TIMELINE is 3 – 4 weeks if all content received by end of week 1.

1. Authorization:
The client named above is engaging World Contact, LLC, as an independent contractor for developing or reconstructing a web site and any related software code or functions. The client hereby authorizes World Contact, LLC to access this hosted web site account, and authorizes the web hosting service to provide World Contact, LLC with complete web site file and host account maintenance access.
2. Complete web site design and page layout package includes:
Site graphic design, page layout, navigation and menu layout, creation of HTML template pages, and graphics placement on individual pages. We will post the initial design drafts to the World Contact web site for the client’s review and comment, client will usually be notified via a hyperlink sent by email and a follow-up telephone call. Comprehensive client review consultation and revision of design as needed (such as color adjustments, sizing of logo and graphic elements, etc.).
Web Site Definition: The “web site” is defined as the collective graphic design and structural page layout as approved by the client and the creation of all agreed to “sub pages” within the site. All text and graphic content or “copy” (descriptive text, artwork, pictures, etc.) that appears on the home and sub pages is considered variable “content” or copy. All copy received from the client at the time of design approval will be included in the appropriate pages as part of this creation package. Copy received or revised after the site pages are spawned will constitute additional work billed at the hourly rate. The web site construction package is considered complete when all pages are spawned with the agreed design and navigation, and all copy received by the date of design approval is included in the pages. Client agrees that any page copy not provided to World Contact, LLC at the time of design approval is not part of the inclusive design package, and is not reason for any claim of incomplete or unfinished web site work.
Consultation: E-mail and/or telephone consultation; up to 1 hour general Internet and e-business education, marketing strategy, web site goal and design consultation, and assistance with teaching client to use web page editing software. Additional education and consultation is at an hourly or project rate.
Custom Graphics: Masthead graphic design with inclusion of logo (if applicable, supplied by client), creation of page footer, and creation of global site navigation links. These design elements are combined in to a site-wide “template” used to spawn all subsequent site pages.
Content: Text and graphic images will be supplied by the client in acceptable PC file format, sent to us either as e-mail, e-mail attachment files, or delivered on PC readable CDs or media.
Photos and other graphic images to be used in the site design and content will be supplied by the client. Image scanning of original images (i.e.; photographs), image correction & reduction, and file format creation carry additional fees. Any stock photography fees are not included in the package price and will be paid for as needed for the design and approved in advance by the client.
Search Engine Submission: The client authorizes World Contact, LLC to submit the completed web site main page to Internet search engines using advanced search engine submission software. There are no guarantees regarding the relative rating or placement of the client’s web site in search engines or search directories. Search keywords, descriptive sentence, and description paragraph supplied by client.
Notes and Items Subject to Additional Charges:
Domain Name: We recommend that the client’s Domain Name be registered to them as both the billing contact and the account holder. World Contact, LLC may charge hourly fees to register or modify a client’s Domain Name registration if requested.
Spam: World contact, LLC does not condone or encourage the use of “spam” e-mail practices, will not engage in such practices, and prohibits the use of our products in the generation of spam e-mail.
Revisions on the presented design of over 2 hours will constitute the creation of a new design, and additional design fees will apply on an hourly basis. Extra fees apply to creation of original graphic design elements such as corporate identity or logo. Installation of finished web pages on the client's hosted web site is included in the package. A detailed specification list or web site worksheet may accompany this agreement.
Text content delivered in physical form (i.e.; paper documents) requiring scanning, OCR (optical character recognition), or manual key entry is billed at an hourly fee, and is not included in the site design package price. Individual web pages of more than 1,000 words of text may be subject to additional fees based on formatting complexity (see specifications pages attached if applicable regarding these topics). Client is responsible for checking for correct spelling and grammar. Changes to client submitted text after the web pages have been constructed will constitute additional billable time at the hourly rate.
Hyperlinks to external web sites and pages may incur an additional hourly fee if they exceed an average of 3 per page in the project. (see specifications pages attached if applicable).
3. Maintenance Fees and Hourly Rate.
The web site design package includes corrective web page maintenance for 30 days after all submitted content has been coded into web pages, and uploaded to the client’s web site. Such maintenance includes updating links, e-mail addresses, and making minor changes to a sentence or paragraph. It does not including removing most or all of the text from a page and replacing it with new text and/or images. If the client or a party other than World Contact, LLC edits the client's web site pages, the time to repair web pages will be billed at the hourly rate, and is not included as part of the normal maintenance period or the development package.
Changes requested by the client beyond these limits will be billed at the standard hourly rate of $125. This rate also applies to any additional work authorized by the client for services such as general Internet education, marketing and advertising consulting, web page design, editing, modifying pages and databases in e-store, graphics services, and assisting clients in the use of their own web page editing software. Programming charges (such as Cold Fusion, ASP, PHP, Java Script, etc.) may be charged at a different hourly rate.
4. Web Site Hosting.
World Contact, LLC does provide advanced partnered web site hosting services. If the client’s site is hosted with a third party service as selected by and contracted with through the client, the client agrees to allow World Contact, LLC full access to the web site via FTP username and password during the development process. If application software or programming is involved in the project, the client agrees to grant World Contact, LLC access to any required hosted databases, and data source names or setup. Some World Contact, LLC software products and web site processes require specific host environment software (such as PHP, ASP, .NET, etc.), and the client acknowledges that these hosting requirements need to be met for our software to work properly. It is the responsibility of the third party host provider, not World Contact, LLC, to insure that hosted web site software (such as PHP, ASP, .NET, Cold Fusion, etc.), is installed properly, and operates normally. Time spent in excess of ½ hour to access the third party host company via FTP or configure page scripts or databases or applications will be billed at our hourly rate.
5. Payment Terms.
Fees to World Contact, LLC are due and payable on the following schedule unless noted otherwise on the specifications page: 50% upon signing the contract to commence the graphic design and development package, and 50% upon approval by the client in writing (email is acceptable) of the site graphic design draft presentation to commence construction of all web site content pages. If the client has not secured web space on a web hosting service by the time the web pages are completed, the web pages may be delivered to the client on a data CD. Live site pages and search engine submission occurs only after the final payment is received. All payments will be made in U.S. funds, drawn on U.S. Banks. Checks should be made payable to “World Contact, LLC”. (World Contact, LLC Federal Tax ID # 06-1502320).
6. Completion Date.
Web site construction will begin when all content has been received by client. A target completion date may be established on the specification page. If the client does not supply World Contact, LLC with the complete text and graphics content of all web pages contracted for within six weeks of the date this contract was signed, the entire amount of the contract becomes due and payable, and the web site project covered in this agreement will be considered finished and complete with the existing content received by World Contact. If the client has not submitted complete text and graphics content within two months after signing of this contract, an additional continuation fee of 10% of the total contract price will also be assessed each month until the web site is completed.
7. Assignment of Project.
World Contact, LLC reserves the right to assign subcontractors to this project to insure the correct level of expertise and on-time completion for graphic work, programming, application development, and hosting.
8. Copyrights and Trademarks.
The client represents to World Contact, LLC and unconditionally guarantees that any elements of text, graphics, photos, designs, trademarks, or other artwork furnished to World Contact, LLC for inclusion in web pages are owned by the client, or that the client has permission from the rightful owner to use each of these elements, and will hold harmless, protect, and defend World Contact, LLC and its subcontractors from any claim or suit arising from the use of such elements furnished by the client, or used in the client’s web site with the client’s prior approval.
9. Limited Liability & Indemnification.
World Contact, LLC does not warrant that the functions contained in produced web pages or the Internet web site will be uninterrupted or error-free due to the interdependent nature of the Internet. After delivery, acceptance and approval of the site pages to the client, the risk as to the quality and performance of the web pages and web site is with the client. In no event will World Contact, LLC, or its subcontractors, be liable to the client or any third party for any damages, including any lost profits, lost savings or other incidental, consequential or special damages arising out of the operation of or inability to operate these web pages or web site, even if World Contact, LLC has been advised of the possibility of such damages. If any provision of this agreement shall be unlawful, void, or for any reason unenforceable, then that provision shall be deemed severable from this agreement and shall not affect the validity and enforceability of any remaining provisions.
10. Copyrights to Web Pages.
Upon receipt of final payment, the client is assigned all copyright rights and ownership to their own web page content, graphics, and text contained in the finished assembled web site. Rights to content not supplied by client such as photos, graphics, source code, work-up files, and computer programs or code are specifically not transferred to the client, and remain the property of their respective owners, unless indicated in the specifications. World Contact, LLC and its subcontractors retain the right to display graphics, screen shots, and other web design elements as examples of their work in their respective portfolios, unless indicated as other in the specifications.
11. Authorship Credit.
We are proud of the work that we complete with our clients, and our designers appreciate having their work credited. We may place a small authorship credit link at the bottom of each completed web page below the footer that links to our web site. Either World Contact, LLC, or the client may remove or request removal of said authorship credit at any time and for any reason.
12. Non-Disclosure.
World Contact, LLC, has non-disclosure agreements available upon request.
13. Laws Affecting Electronic Commerce.
From time to time governments enact laws and levy taxes and tariffs affecting Internet electronic commerce. The client agrees that the client is solely responsible for complying with such laws, taxes, and tariffs, and will hold harmless, protect, and defend World Contact, LLC and its subcontractors from any claim, suit, penalty, tax, or tariff arising from the client's exercise of Internet electronic commerce. Any such taxes and tariffs are the sole responsibility of the client.
14. Payment of fees, terms.
Our standard terms are “due on receipt” with payment due received by World Contact within 10 days of bill date. We respectfully request and expect timely payment from our clients. Delinquent bills will be assessed a $50 charge if payment is not received within 10 days of the due date. If an amount remains delinquent 30 days after its due date, an additional 10% of the project total will be added for each month of delinquency. World Contact, LLC reserves the right to remove web pages from viewing on the Internet until final payment is made. If collection proves necessary, the client agrees to pay all fees incurred by that process. Web site pages and content created by World Contact remain the property of World Contact until final project payment is received, at which time said pages and content become the property of the client per contract item # 10. This agreement becomes effective only when signed by World Contact, LLC. Regardless of the place of signing of this agreement, the client agrees that for purposes of venue, this contract was entered into in Fairfield County, Connecticut, and any dispute will be litigated or arbitrated in Fairfield County, Connecticut.
15. Sole Agreement.
The agreement contained in this "Website Project Contract" constitutes the sole agreement between World Contact, LLC and the client regarding this web site project. Any additional work not specified in this contract must be authorized by a written change order. All prices specified in this contract will be honored for six (6) months after both parties sign this contract. Continued services after that time will require a new agreement.
16. Initial Payment and Refund Policy.
The total amount of this project contract is stated on page one.
This agreement begins with an initial payment to start per terms in contract item # 5. If the client halts work and applies by registered letter for a refund within 30 days, to the Director of World Contact, LLC, 24 East Avenue, #202, New Canaan, CT 06840, telephone (203) 966-5408, work completed shall be billed at the hourly rate stated above, and deducted from the initial payment, the balance of which shall be returned to the client. If, at the time of the request for refund, work has been completed beyond the amount covered by the initial payment, the client shall be liable to pay for all work completed at the hourly rate stated above. No portion of this initial payment will be refunded unless written application is made and received through registered mail within 30 days of signing this contract.
Payments may be made by credit card (Visa or MasterCard) or checks payable to “World Contact, LLC”.
